The Cambridge-based Corporate Finance team of S&W, the professional services and advisory group, has acted as lead adviser to Ruptura InfoSecurity on its sale to Saepio.

The transaction adds to the S&W Cambridge team’s extensive experience in cyber security and further highlights its ability to advise on strategic transactions across the cyber security and wider IT consulting landscape. They were supported by James Lawrence and Joe Greenstock from HCR Law, who advised on all legal aspects of the transaction.

Founded in 2018 with offices in the UK and Middle East, Ruptura provides cutting edge cyber security consulting services to global financial institutions and other blue chip and FTSE100 companies alike. A CHECK and CREST accredited cyber security provider, Ruptura’s team of consultants are some of the most highly skilled in the industry, having placed first in the UK (and ninth globally) in the 2024 “HackTheBox” business competition.

Saepio, founded in 2016, is a cyber security specialist providing consultancy and managed services alongside value-added reselling of software. Saepio’s primary objective is to help UK mid-market companies understand their risk position from an information security perspective and mitigate those risks with bespoke recommendations across their full suite of IT and security services.

David Ball, who led the deal team at S&W commented; “It’s been a pleasure working with and getting to know Tom over the last couple of years. The deal is yet another example of us being able to bring to bear our considerable experience of working with fast-growing cyber security businesses by supporting their growth journey and ultimately positioning themselves in the best possible way for an eventual exit.”

Tom Heenan, Founder of Ruptura InfoSecurity commented: “From the outset, the S&W team have been an invaluable asset; from leading on valuation negotiations and agreeing heads of terms, to navigating us through the various challenges and pitfalls along the way, their obvious expertise shone through at every stage of the process.

“I chose to work with S&W due to their significant experience within cyber security and this proved to be one of the best decisions I have ever made.  Being from a technical and security background, this was a new world to me and there were numerous times when I would be unsure of a certain point and the advice we received was always clear, timely and pragmatic.”

Joe Greenstock, from HCR Law said; “The deal marks the start of an exciting new phase for Ruptura and we are glad to have helped to facilitate this. It was a pleasure working with the sellers, together with David and the team at S&W, and we are proud to once again demonstrate our experience in delivering successful exits in the cyber security sector.”
